Terms and Conditions
1. Scope and Acceptance
These Terms and Conditions (“Terms”) govern access to and use of the websites german-help.com and ai.german-help.com (collectively, the “Platform”), operated by Alexander Groll (“Operator”, “we”, “us”), a self-employed individual (Persona Física) registered in the Republic of Paraguay.
By accessing the Platform or purchasing any service, you confirm that you have read, understood, and agree to these Terms in full. If you do not agree, please do not use the Platform.
2. Services Overview
The Platform provides the following services:
- AI Language Tutors – Access to AI-powered German language tutoring sessions at ai.german-help.com.
- Telegram Bot – AI voice-based language practice via @language_help_com_bot on Telegram (see Section 3a).
- Human Tutor Directory – A free listing service for independent, self-employed tutors offering language and other lessons.
- Human Tutoring by the Operator – German language lessons taught directly by the Operator, including individual lessons, lesson packages, and group lessons.
- Affiliate and Referral Programme – A commission-based programme through which partners may earn referral fees for recommending the Platform’s paid services.
- Optional Tools – Booking and video conferencing tools made available to certain listed tutors at the Operator’s sole discretion.
3. AI Language Tutor Service
3.1 Free Tier
Users may access AI tutoring sessions free of charge, limited to three (3) sessions of up to three (3) minutes each per calendar day. The free tier is provided to allow users to evaluate the service quality before making a purchase. No registration may be required for free tier access.
3.2 Paid Access – Time Passes
Paid access to AI tutors is granted through time-limited access passes. All prices are denominated in Paraguayan Guaraní (PYG). Euro (€) amounts displayed on the Platform are approximate indications only and may vary due to exchange rate fluctuations. The PYG amount charged at the time of payment is the contractually binding price.

A time pass grants unlimited access to AI tutoring sessions for the stated number of calendar days from the date of activation. Unused access time remaining at expiry is forfeited without compensation.
3.3 Nature of the AI Tutor
The AI tutors are autonomous software systems whose responses are generated automatically. Sessions are not monitored or supervised by the Operator in real time. AI-generated content may contain errors, inaccuracies, or inappropriate responses. The Operator does not warrant the accuracy, completeness, or suitability of any AI-generated content. Users interact with the AI tutors at their own discretion and responsibility.
3.4 Service Availability and Outage Compensation
The Operator makes reasonable commercial efforts to maintain availability of the AI tutor service. In the event of an unplanned service outage lasting more than one (1) consecutive hour during a paid access period, affected users may request a pro-rata extension of their access pass equal to the confirmed outage duration. Requests must be submitted to info@german-help.com within fourteen (14) days of the outage. Compensation is limited to an access extension and does not include monetary refunds.
3a. Telegram Bot Service (@language_help_com_bot)
3a.1 Free Tier
Each Telegram user receives 6 free voice messages per 4-hour rolling window via our bot @language_help_com_bot. The window resets automatically 4 hours after the first message in that period. This limit applies per Telegram account.
3a.2 Unlimited Access via KI-Pass
A KI-Pass purchased on german-help.com grants unlimited Telegram bot access for the pass duration. Activate it with the /pass command and your access code. The same KI-Pass also grants unlimited access to the browser-based AI tutors.
3a.3 Invite Reward
Users may earn 30 days of unlimited bot access by sharing the bot with new users via the /share command. The reward is credited once per newly referred user who sends at least one voice message.
3a.4 Data Deletion
Users may delete all data stored by the bot at any time by sending the /delete command.
3a.5 Availability
The bot depends on third-party providers (Groq for speech-to-text, Cartesia AI for text-to-speech, Groq LLM for replies, and Telegram). Temporary unavailability does not entitle users to compensation or refunds.
4. Human Tutoring by the Operator
4.1 Session Format
Lessons offered directly by the Operator are conducted in 50-minute units via video conferencing. Lessons may be booked individually, as lesson packages, or as group lesson packages.
4.2 Pricing
All prices are denominated in PYG. Euro amounts below are approximate indications. The Operator reserves the right to adjust prices at any time; changes do not affect sessions already paid for.

Group lesson packages are sold as a block of 4 or 8 lesson hours shared among the group. The price per participant is calculated as the total package cost divided by the number of confirmed participants. The group coordinates scheduling jointly; no individual booking within a group package is possible.
4.3 Trial Lesson
A trial lesson at a reduced symbolic rate is available to new students. The reduced rate reflects an introductory offer and is intended to confirm mutual suitability. The trial lesson fee is non-refundable once the session has taken place.
4.4 Cancellation Policy
Cancellations must be submitted to the Operator at least 24 hours before the scheduled session start time. Sessions cancelled with adequate notice will be rescheduled or, at the Operator’s discretion, refunded. Sessions cancelled with less than 24 hours’ notice or where the student does not attend may be charged in full.
Group lesson packages are non-refundable once the first session of the package has taken place. Individual sessions within a group package that are cancelled by the Operator will be rescheduled.
5. Tutor Directory – Independent Tutors
5.1 Nature of the Directory
german-help.com provides a free advertisement listing service for independent tutors (“Listed Tutors”). The Platform functions as a classified directory. Listing is provided free of charge to tutors.
5.2 Independent Contractor Status
Listed Tutors are independent, self-employed contractors. They are not employees, agents, partners, or representatives of the Operator in any manner. The Operator exercises no direction or control over their teaching methods, pricing, tools, scheduling, subject matter, or any other aspect of their work. Listed Tutors may teach subjects beyond German language at their own discretion, provided they comply with applicable law.
Listed Tutors are solely responsible for:
- The quality, accuracy, and content of their lessons and materials
- All tax obligations and legal compliance requirements applicable to their self-employed activity
- Their own contractual arrangements and disputes with students
- Any harm caused to students or third parties arising from their services
The Operator accepts no liability whatsoever for the services, actions, or omissions of Listed Tutors.
5.3 Listing Content and License
Listed Tutors may submit a profile photo, a short video, and descriptive text to be included in their listing. All content is uploaded manually by the Operator. By submitting content, the tutor grants the Operator a non-exclusive, royalty-free, worldwide license to display, reproduce, and format that content on the Platform for as long as the listing remains active.
The Operator reserves the right to reject or remove any submission without notice, including content of insufficient technical or presentation quality, inaccurate descriptions, or content that violates these Terms or applicable law.
5.4 No Right to Listing or Publication
Tutors have no right to a listing, to continued listing, or to the publication of any specific content. The Operator may suspend, modify, or permanently remove any listing at any time and for any reason, without prior notice and without liability.
5.5 Pricing Display on Overview Pages
The Operator displays per-50-minute pricing on tutor overview pages for ease of comparison. If a Listed Tutor charges on a basis other than per 50-minute unit (e.g., per hour, per package), the Operator may omit that tutor’s pricing from overview pages.
5.6 Optional Tools – No Entitlement
The Operator may, entirely at their own discretion and without any obligation, provide certain Listed Tutors with access to booking tools (e.g., Cal.com) or video conferencing tools. Such access is a voluntary courtesy. The Operator may withdraw access to any such tool at any time without notice or liability. Listed Tutors are advised to maintain their own independent tools and infrastructure and may not rely on tools provided by the Operator.
5.7 Data Updates and Deletion Requests
Listed Tutors may request updates to their listing content or deletion of their listing and associated personal data by contacting info@german-help.com. The Operator will process reasonable requests within a reasonable time. The Operator reserves the right to limit the frequency of content update requests. Excessive or repeated requests for changes may result in permanent removal of the listing.
6. Affiliate and Referral Programme
6.1 Overview
The Platform operates an affiliate and referral programme through which participating tutors and external partners (“Affiliates”) may earn commission on purchases made by users they have referred. Participation is subject to separate Affiliate Guidelines, which form part of these Terms by reference.
6.2 Commission Structure

Commission is credited only when a referred user completes a qualifying purchase within 30 days of following a referral link, provided they have consented to affiliate tracking cookies. Only one commission is earned per referred user (first purchase only).
6.3 Payout
Commissions are settled monthly after payment receipt. A minimum payout threshold of €20 applies; amounts below this threshold are carried forward to the following month. To receive payouts, Affiliates must provide one of the following:
- IBAN bank transfer (EUR, SEPA or international)
- Paraguayan Guaraní bank account (PYG, local bank details)
- USDT crypto wallet (TRC-20 / Tron network preferred due to low transaction fees)
Transaction fees are borne by the Affiliate. Payment details must be provided to the Operator upon request.
6.4 Tracking and Consent
Referral attribution relies on a browser cookie (gh_ref_code) set for 30 days when a user arrives via a partner link and consents to tracking via the cookie banner (“Accept all”). No commission is credited if the user declines tracking. The Operator cannot guarantee attribution where cookies are blocked, cleared, or expire before a purchase is made.
6.5 Disclosure Obligation
Affiliates are solely responsible for complying with all applicable advertising disclosure laws, including § 5a UWG (Germany) and the EU Unfair Commercial Practices Directive. Promotional content for the Platform must be clearly labelled as advertising. The Operator accepts no liability for Affiliates’ failure to comply with disclosure obligations.
6.6 Termination of Affiliate Participation
The Operator may terminate an Affiliate’s participation at any time. Pending commission earned prior to termination will be settled unless the termination results from a breach of the Affiliate Guidelines.
7. Payment
Payments are processed through Pagopar or other payment providers as indicated at checkout. All transactions are settled in Paraguayan Guaraní (PYG). Any Euro or other currency amounts displayed on the Platform are indicative only; the PYG amount charged at the time of transaction is the binding contractual amount. Exchange rate differences between the displayed indicative amount and the final charge are the responsibility of the payer.
The terms and conditions of the applicable payment provider govern the payment transaction itself.
8. Refund Policy
8.1 AI Tutor Time Passes – No Refund
Time passes are non-refundable once activated. A free tier (Section 3.1) is available prior to any purchase, enabling users to evaluate the service before committing to a paid pass.
Waiver of withdrawal rights: By completing the purchase of a time pass, you acknowledge that access to the AI tutor service is made available immediately upon activation, and you expressly request immediate performance of the service. To the extent permitted by applicable law, you thereby waive any right of withdrawal or cancellation that would otherwise apply to digital services or content.
8.2 AI Tutor Outage – Access Extension Only
In the event of confirmed service outages, users are entitled to an access extension as described in Section 3.4. No monetary refunds are issued for service downtime.
8.3 Human Tutoring – Operator Sessions
The trial lesson fee is non-refundable once the lesson has taken place. Prepaid individual lessons or lesson packages cancelled by the student with at least 24 hours’ notice will be rescheduled or, at the Operator’s discretion, refunded. Sessions cancelled late or not attended are non-refundable.
Group lesson packages are non-refundable once the first session has taken place. See Section 4.4 for the cancellation policy applicable to group sessions.
8.4 Human Tutoring – Listed Tutors
Cancellation and refund terms for lessons with Listed Tutors are determined solely by those tutors. The Operator is not a party to such arrangements and accepts no refund responsibility for Listed Tutors’ services.
9. No Guarantee of Learning Outcomes
The Operator makes no warranty and provides no guarantee of any specific learning outcome, language proficiency level, examination result, certificate, or other educational achievement arising from use of any service on the Platform — including AI tutoring, Operator-led lessons, or lessons with Listed Tutors. Language learning outcomes depend substantially on individual effort, prior knowledge, motivation, and other factors outside the Operator’s control.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Operator’s total liability for any claim arising from use of the Platform shall not exceed the amount actually paid by the user for the specific service giving rise to the claim in the thirty (30) days immediately preceding the claim.
- The Operator is not liable for acts or omissions of Listed Tutors, Affiliates, AI systems, or third-party payment or technology providers.
- The Operator is not liable for indirect, incidental, or consequential losses including loss of data, loss of profits, or loss of business opportunities.
- The Operator is not liable for inaccurate, incomplete, or inappropriate AI-generated content.
- The Operator is not liable for technical failures of third-party services including payment processors, video conferencing tools, or hosting infrastructure.
11. Intellectual Property
All Platform content created by or licensed to the Operator (including texts, logos, design elements, AI tutor personas, and system prompts) is protected by applicable intellectual property law. Users may not reproduce, distribute, publicly display, or modify such content without prior written consent from the Operator.
Content submitted by Listed Tutors (photos, videos, descriptions) remains the property of those tutors. The Operator’s license to display such content terminates upon removal of the listing.
12. Acceptable Use
Users agree not to:
- Circumvent free tier limits through technical manipulation or multiple accounts
- Record, reproduce, or distribute AI tutor session content without explicit consent
- Attempt to extract, reverse-engineer, or replicate AI tutor system prompts or logic
- Use the Platform for any unlawful purpose or in violation of applicable law
- Submit false personal or payment information
- Interfere with the technical operation of the Platform
Breach of this section may result in immediate suspension of access without refund and, where applicable, legal action.
13. Minors
Users under the age of 18 require the consent of a parent or legal guardian to use paid services on the Platform. By completing a purchase, the user confirms they are at least 18 years of age or that a parent or guardian has provided consent and will be responsible for payment.
14. Privacy and Data Protection
The Operator collects and processes personal data (such as name, email address, and payment information) to the extent necessary to provide the services described in these Terms. Data is processed in accordance with Paraguayan data protection law.
Users may request access to, rectification of, or deletion of their personal data by contacting info@german-help.com.
Listed Tutors’ profile data (name, photo, video, description) is displayed publicly on the Platform for the duration of their listing and removed upon deletion of the listing.
A full Privacy Policy is available separately on the Platform.
15. Changes to These Terms
The Operator may update these Terms at any time. Material changes will be announced on the Platform at least fifteen (15) days before taking effect. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of those Terms. If you do not accept the updated Terms, you may discontinue use of the Platform before the changes take effect.
16. Governing Law and Jurisdiction
These Terms are governed exclusively by the laws of the Republic of Paraguay. Any dispute arising from or related to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Encarnación, Paraguay.
